01

Acceptance of these Terms

Pull Up Enterprise LLC (“Pullup,” “we,” or “us”) operates Pullup. These Terms govern your use of Pullup’s website, iPhone application, ticketing marketplace, communications, and related services. By creating an account, purchasing or listing a ticket, or otherwise using Pullup, you agree to these Terms and the policies incorporated by reference.

02

Eligibility

Pullup is only for people who are at least 18 years old and legally able to enter a binding agreement. Parent or guardian permission is not an exception. If you act for a company or organization, you represent that you have authority to bind it.

03

Pullup’s marketplace role

Pullup provides technology connecting customers with independent event hosts. Pullup is not the event organizer, venue operator, promoter, security provider, insurer, alcohol provider, or employer of a host, promoter, or doorman.

04

Accounts and phone verification

You must provide accurate information, use a phone number you control, protect verification and doorman codes, and promptly report suspected misuse. Customer and host profiles may use the same verified phone number but remain separate roles.

05

Host accounts

Host accounts are invitation-only. Hosts are responsible for their listings, venues, permissions, capacity, accessibility, admission practices, staff, safety measures, attendee communications, taxes, and compliance with applicable laws.

06

Doorman access

A host may issue temporary doorman codes for a specific event. Doorman access is limited to ticket scanning and related attendance functions, may not be shared, and expires automatically when the authorized event access period ends.

07

Event listings

Hosts must provide complete and accurate material information, including the event date, time, approximate area, ticket terms, restrictions, accessibility information, and lawful conditions of entry. Pullup may remove or correct misleading or unsafe listings.

08

Tickets and admission

A ticket is a limited, revocable right to seek admission under the listing and venue rules. Possession of a ticket does not guarantee entry when lawful capacity, safety, identity, age, conduct, or listing requirements are not met.

09

QR codes and ticket misuse

Tickets and QR codes may not be copied, counterfeited, improperly resold, acquired by bots, or used fraudulently. A valid ticket may be scanned only once.

10

Prices and service fees

Hosts set base ticket prices. Each paid ticket includes a flat $1.50 maintenance fee, paid entirely to the host. A valid discount code reduces the base ticket price by $1.50, down to $0; the maintenance fee remains unchanged. Pullup adds $0.99 plus 20% of the discounted base ticket price. Amounts are rounded per ticket to the nearest cent. Free RSVP tickets have no fees. The complete customer total is displayed before payment.

11

Payment processing

Stripe or another disclosed payment provider processes payments. Pullup does not store complete payment-card or bank-account credentials. Payment authorization, settlement, reversals, and disputes are also subject to the provider’s terms.

12

Host payouts

Payouts may be delayed, reserved, reversed, or withheld for refunds, disputes, fraud, cancelled events, negative balances, safety issues, provider requirements, or legal compliance. A verified status describes provider onboarding and is not a guarantee of future payouts.

13

Taxes

Hosts remain responsible for identifying, collecting, reporting, and paying taxes, permits, assessments, and other obligations associated with their events and proceeds, except where Pullup is legally required to collect or remit an amount directly.

14

Refunds and cancellations

Sales are final except under the displayed Refund and Cancellation Policy or where applicable law or payment-network rules require otherwise. Hosts must communicate cancellations and material changes and fund host-responsible refunds, reversals, chargebacks, and related losses.

15

Authentication and transactional SMS

Requesting a login code authorizes one automated authentication text. Customers may receive essential transactional texts concerning purchased tickets, security, schedules, cancellations, support, and private-address releases where permitted. Message and data rates may apply.

16

Optional promotional SMS

Promotional SMS is optional and requires affirmative consent. Consent is not required to create an account, use Pullup, or purchase a ticket. Message frequency varies. Reply STOP to unsubscribe, HELP for help, or change the setting in your account. An opt-out does not prevent essential non-marketing messages where permitted.

17

Host SMS campaigns

Hosts may send no more than two Pullup SMS campaigns for an eligible active event, only through Pullup, and only to recipients Pullup identifies as eligible from recorded consent. Hosts do not receive phone-number lists and cannot message attendees after the event.

18

Prohibited conduct

You may not use Pullup for unlawful activity, fraud, harassment, discrimination, exploitation, intellectual-property infringement, unauthorized venues, unsafe overcrowding, weapons violations, unlawful regulated substances, deceptive promotions, or misuse of personal information.

19

Safety and emergencies

Hosts control their events and are responsible for reasonable safety planning and lawful operation. Pullup does not provide emergency services or guarantee event safety. Call 911 or the appropriate local authority for immediate danger.

20

User content and intellectual property

You retain ownership of content you submit and grant Pullup a nonexclusive license to host, resize, display, moderate, and promote it for operating the service and relevant listing. You must have the rights needed to submit that content.

21

Third-party services and Apple

Pullup relies on providers including Apple, Supabase, Stripe, Twilio, and hosting vendors. Their services may be subject to separate terms. If downloaded from Apple, these Terms are between you and Pullup; Apple has no duty to maintain or support Pullup and is a third-party beneficiary where applicable.

22

Suspension and termination

Pullup may investigate, preserve, suspend, limit, or remove accounts, listings, tickets, campaigns, or content for safety, fraud prevention, policy enforcement, provider requirements, legal compliance, or material breach. Obligations that logically survive termination remain effective.

23

Disclaimers and limitation of liability

Pullup is provided as is and as available. To the maximum extent permitted by law, Pullup disclaims implied warranties and liability for indirect, incidental, special, consequential, exemplary, or punitive damages. Nothing excludes non-waivable consumer rights or liability that cannot lawfully be limited.

24

Indemnification, governing law, changes, and contact

To the extent permitted by law, hosts agree to defend and indemnify Pullup and its personnel from third-party claims arising from their events, venues, communications, content, taxes, legal violations, or breach. California law governs without overriding mandatory consumer protections. Pullup may update these Terms prospectively and provide notice where required. Contact support@pulluptickets.com.
